Terms of Service

Welcome to tr8d.net ("tr8d", "we", "our", "the Platform"), a technology platform that provides algorithmic trading tooling. These Terms of Service (the "Terms") govern your access to and use of the Platform. By creating an account or using tr8d.net, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

• "Platform" means tr8d.net and all related services, interfaces, and content.
• "Paper Trading" or "Simulated Trading" means the Platform's virtual trading environment, described in Section 4.
• "Live Trading" means the execution of orders on a connected exchange using your own API credentials.
• "User", "you" means any individual or entity that registers for or accesses the Platform.

2. Nature of the Service

tr8d is a self-service, multi-user software tool. We provide the interface, account system, and automation engine; we do not hold custody of your assets, we do not act as a broker-dealer, investment adviser, or exchange, and we do not execute trades on your behalf through any account we control. Each user connects their own exchange account or wallet. You remain solely responsible for your trading decisions and for the configuration of any connected exchange account or wallet.

3. Accounts

• Registration. You must create an account using a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• Accuracy. You agree to provide accurate information and to keep it current.
• Eligibility. You must be at least 18 years old and have the legal capacity to enter into these Terms.
• Security. Passwords are stored in scrypt-hashed form (never plain text). We will never ask you for your password, private key, or seed phrase by email or message.

4. Paper Trading & Simulation

The Platform includes a Paper Trading module that simulates the execution of multiple trading strategies in a virtual environment. The following terms apply specifically to that module:

• Virtual funds only. Paper Trading uses a simulated starting balance of $10,000 (virtual) per strategy. No real currency, digital assets, or value is deposited, held, or transferred.
• No order routing. Simulated orders are never transmitted to any exchange, broker, or liquidity venue. They are computed locally against historical and real-time market data.
• Hypothetical results. All simulated performance, profit, loss, equity curves, win rates, and trade histories are hypothetical and for educational and demonstration purposes only. They do not represent the results of actual trading.
• Inherent limitations. Simulated results are inherently limited because they do not reflect real-world conditions such as market liquidity, slippage, latency, order-book depth, or the psychological effects of financial risk. Simulated performance may materially overstate results that would be achievable with real capital.
• No predictive value. Past simulated performance — like past actual performance — is not indicative of future results. No performance shown on the Platform constitutes a guarantee, promise, or projection of profit.

5. No Financial or Investment Advice

Nothing on the Platform constitutes financial, investment, legal, or tax advice. Any signals, strategies, scores, or data displayed are provided as-is for informational purposes only. You should consult a qualified professional before making any financial decision.

6. Risk Disclosure

Trading digital assets involves a substantial risk of loss and is not suitable for every investor. You may lose some or all of your invested capital. You should never trade with funds you cannot afford to lose. Leveraged trading carries additional risk and may result in liquidation. Automated trading may execute trades without human review; you are responsible for the parameters you configure.

7. API Keys & Non-Custodial Wallet

• Exchange API keys. To enable autonomous trading, you must provide an exchange API key with withdrawals disabled. The Platform verifies this restriction and refuses to operate keys that permit withdrawals. Your API secret is encrypted at rest (AES-256-GCM) and decrypted in memory only while your bot is running. You are responsible for the security and permissions of your own keys, and you may revoke them at any time.
• Non-custodial wallet. The Platform is non-custodial. We never request, collect, or store your private key or seed phrase — and we reject any input that resembles one. Wallet connections record your public address only; any wallet-based transaction is authorized and signed by you in your own wallet. Autonomous trading requires an exchange API key; self-custody wallets are not traded automatically by the Platform.

8. Market Hours (Daily Market Cut)

The trading engine observes a daily mandatory pause from 12:00:00 PM to 12:30:00 PM (America/Edmonton). During this window, live trading is halted, open orders are cancelled, and positions are flattened. Trading resumes automatically at 12:30 PM. This schedule may be modified at any time without notice.

9. Acceptable Use

You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to other users' accounts or data; (c) reverse-engineer, decompile, or interfere with the Platform's operation; (d) use automated means to scrape or overload the Platform in a manner that degrades service for others; or (e) submit any wallet private key or seed phrase (the Platform will reject it, and you should never share it).

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, tr8d and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of the Platform, including any loss resulting from trading activity, technical failure, market volatility, or third-party exchange actions.

12. Indemnification

You agree to indemnify and hold harmless tr8d and its affiliates from any claims, damages, or expenses arising out of your use of the Platform or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause and without notice. You may stop using the Platform and delete your account at any time. Upon termination, your right to use the Platform ceases immediately.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Edmonton, Alberta.

15. Privacy

Your privacy is important to us. We collect only the minimum information needed to operate the Platform (email, hashed password, encrypted API key, and public wallet address). We never collect private keys or seed phrases, we do not sell personal information, and we do not run advertising or third-party analytics trackers. 16. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Effective date" above. Your continued use of the Platform after any change constitutes acceptance of the revised Terms.
